1. General Provisions

These Terms of Service (hereinafter referred to as "Terms") set forth the conditions for the use of Japan market entry support services (hereinafter referred to as "Services") provided by JBoundex (hereinafter referred to as "Company").

All customers who use the Services (hereinafter referred to as "Users") are deemed to have agreed to these Terms.

2. Definitions

The following terms used in these Terms shall have the meanings set forth below:

  1. "Services" refers to the collective term for consulting, EC operation support, compliance support, and other related services for Japan market entry provided by the Company.
  2. "User" refers to corporations or sole proprietors who use the Services.
  3. "Contract" refers to the service agreement concluded between the Company and the User based on these Terms.
  4. "Deliverables" refers to documents, reports, and other materials created by the Company in connection with the provision of the Services.

3. Service Description

The Company provides the following services. Specific service details shall be determined in individual contracts.

  1. Consulting on Japan market entry
  2. Listing and operation support on EC platforms such as Amazon Japan and Rakuten
  3. Compliance support for Japanese regulations (Pharmaceutical and Medical Device Act, Act against Unjustifiable Premiums and Misleading Representations, Electrical Appliance and Material Safety Act, etc.)
  4. Creation of product pages and advertising creatives
  5. Logistics and fulfillment design support
  6. Other services related to Japan market entry
Note: The Company may change the service content without prior notice. Users will be notified in advance of significant changes.

4. Contract Formation

  1. Users shall apply for the use of the Services through the method prescribed by the Company.
  2. The Contract shall be formed when the Company accepts the User's application and notifies the User of such acceptance.
  3. The Company may decline an application in the following cases:
    • When the application contains false information, errors, or omissions
    • When the User has previously violated these Terms
    • When the Company otherwise deems it inappropriate

5. Fees and Payment

  1. Fees for the Services shall be determined in individual contracts.
  2. Users shall pay fees by the method and due date specified by the Company.
  3. In case of late payment, Users shall pay a late payment fee at an annual rate of 14.6%.
  4. The Company may revise fees due to changes in economic conditions or other reasons. Users will be notified in advance of any fee revisions.

6. User Obligations

Users shall bear the following obligations in using the Services:

  1. Provide accurate and timely information, materials, and data necessary for the provision of the Services to the Company
  2. Respond to inquiries from the Company within a reasonable period
  3. Confirm that their products comply with Japanese laws and regulations and obtain necessary permits and licenses
  4. Comply with the provisions of these Terms and individual contracts

7. Prohibited Activities

Users shall not engage in the following activities when using the Services:

  1. Activities that violate laws or public order and morals
  2. Activities that infringe on the intellectual property rights, privacy rights, or other rights of the Company or third parties
  3. Providing false information
  4. Activities that interfere with the operation of the Services
  5. Reselling or re-providing the Services to third parties without the Company's consent
  6. Other activities deemed inappropriate by the Company

8. Intellectual Property Rights

  1. Copyrights, trademark rights, and other intellectual property rights related to the Services belong to the Company or legitimate rights holders.
  2. The ownership of intellectual property rights for Deliverables shall be determined in individual contracts. Unless otherwise specified, copyrights for Deliverables belong to the Company, and Users are granted a license to use them.
  3. Intellectual property rights for product information, images, and other materials provided by Users belong to the Users.

9. Confidentiality

  1. The Company and Users shall not disclose or leak confidential information of the other party learned in connection with the provision of the Services to third parties without the prior written consent of the other party.
  2. The confidentiality obligation in the preceding paragraph shall not apply to the following information:
    • Information that was already publicly known at the time of disclosure
    • Information that became publicly known after disclosure through no fault of the receiving party
    • Information that was legitimately held before disclosure
    • Information obtained from a third party with legitimate authority without confidentiality obligations
  3. The confidentiality obligation under this article shall survive for 3 years after the termination of the Contract.

10. Disclaimer

  1. The Company shall perform its duties with the care of a prudent manager in providing the Services, but does not guarantee specific outcomes or results.
  2. The Company shall not be liable for damages arising from the following:
    • Damages caused by errors or insufficiencies in information provided by Users
    • Damages caused by specification changes, failures, or account suspensions of EC platforms (Amazon Japan, Rakuten, etc.)
    • Damages caused by changes in Japanese laws and regulations
    • Damages caused by force majeure such as natural disasters, war, or terrorism
  3. The Company does not guarantee that Users' products comply with Japanese laws and regulations. The final judgment and responsibility for legal compliance rests with the Users.

11. Limitation of Liability

  1. For damages incurred by Users in connection with the Services, except in cases of intentional misconduct or gross negligence by the Company, the Company's liability shall be limited to the total amount of service fees paid by the User to the Company in the most recent 12 months.
  2. The Company shall not be liable for indirect damages, special damages, lost profits, or loss of data, regardless of foreseeability.

12. Termination

  1. The Company or User may immediately terminate the Contract without notice if the other party falls under any of the following:
    • When a violation of these Terms is not remedied despite a demand for remedy within a reasonable period
    • When payment is suspended or becomes unable to pay
    • When bankruptcy proceedings, civil rehabilitation proceedings, or corporate reorganization proceedings are filed
    • When dissolved or when all or a significant part of the business is transferred
  2. Users may terminate the Contract by providing written notice at least 30 days in advance.
  3. If there are any unpaid fees at the time of Contract termination, Users shall immediately pay them.

13. Exclusion of Anti-Social Forces

  1. The Company and Users represent and warrant that they are not organized crime groups, members of organized crime groups, companies related to organized crime groups, or other anti-social forces.
  2. The Company or User may immediately terminate the Contract without notice if the other party violates the preceding paragraph.

14. Amendments to Terms

  1. The Company may amend these Terms in the following cases:
    • When the amendment is in the general interest of Users
    • When the amendment does not conflict with the purpose of the Contract and is reasonable in light of the necessity of the amendment, the appropriateness of the amended content, and other circumstances
  2. When amending these Terms, the Company shall announce the amended content and effective date on the website at least 30 days before the effective date of the amendment.

15. Governing Law and Jurisdiction

  1. These Terms shall be governed by and construed in accordance with the laws of Japan.
  2. Any disputes arising in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
